1. Introduction

Who are we?

We are Patroon Legal Design B.V., trading as Mino. Our address is Nicolaas Witsenkade 38, 1017 ZT Amsterdam, The Netherlands. Our KvK number is 70686122. In these terms, we refer to ourselves as "Mino", "we", "us", or "our".

What do we do?

We provide AI-powered tools for legal professionals through our platform at https://mino.law (the Platform). Our specialist AI agents — including Thea and others we may introduce — help lawyers with specific tasks such as building litigation timelines, visualizing transaction structures, and other legal workflows (the Agents).

We also provide educational content, community access, and related services (together with the Platform and Agents, the Services).

Important notice

Our Services are tools for legal professionals, not legal advice. The Agents assist with document analysis, visualization, and workflow tasks. They do not practice law, provide legal opinions, or replace professional judgment. You remain fully responsible for all legal decisions and advice you give to your clients.

2. Acceptance of Terms

By creating an account, accessing the Platform, or using any of our Services, you agree to these Terms of Service (the Terms). If you do not agree, do not use our Services.

If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" refers to that entity.

These Terms incorporate our Privacy Policy, which explains how we handle your data.

3. Account Terms

Creating an account

To use our Services, you must create an account on our Platform. You must provide accurate and complete information during registration.

Your responsibilities

• Your account is strictly personal (or assigned to your organization)
• Keep your login credentials confidential
• You are liable for all activity under your account
• Notify us immediately at hello@mino.law if you suspect unauthorized access
• You are not liable for unauthorized access if you report it promptly

Our access

Mino employees may access your account when necessary to provide support or maintain the Services. We do not access the documents you upload or outputs you generate unless you explicitly grant permission for support purposes. See our Privacy Policy for details.

Account termination by you

You may delete your account at any time by emailing hello@mino.law or using the account deletion function in the Platform (when available). Account deletion does not affect any outstanding payment obligations.

Account termination by us

We may suspend or terminate your account if:

• You violate these Terms
• You have outstanding payment obligations
• We reasonably believe your use violates applicable law
• We discontinue the Services (with reasonable notice)

4. Beta Services

Current status

Certain Services may be designated as "beta", "early access", or "preview". Beta Services are provided for evaluation and feedback purposes.

Beta terms

For Beta Services:

• They may be incomplete, contain bugs, or change significantly
• We may modify or discontinue them without notice
• We provide them "as is" without warranties
• Your feedback helps us improve — we appreciate it

Transition from beta

When Beta Services transition to general availability, standard subscription terms will apply. We will notify you before any paid features are introduced and give you the option to continue or cancel.

5. Subscriptions and Payment

Subscription model

We offer subscription-based access to our Services. Details of available plans, features, and pricing are published on our Platform.

Billing

• All prices are exclusive of VAT unless stated otherwise
• Subscriptions are billed monthly in advance
• Payment is processed through our payment provider (currently Mollie)
• You authorize recurring charges for your subscription

Price changes

We may change our prices with 30 days' notice. Price changes take effect at your next billing cycle. If you do not agree to a price change, you may cancel before it takes effect.

No refunds

Subscription fees are non-refundable. If you cancel, you retain access until the end of your current billing period, but no refund is provided for the remaining period.

Late payment

If payment fails:

• We will notify you and attempt to charge again
• We may suspend your access until payment is received
• We reserve the right to charge interest at 1.5% per month on overdue amounts
• We may charge reasonable administrative costs for collection efforts (maximum €40 excluding VAT per incident)

Free tiers and trials

We may offer free tiers, trials, or promotional access at our discretion. These may be subject to additional terms, usage limits, or time restrictions. We reserve the right to modify or discontinue free offerings at any time.

6. Usage Limits

Reserved rights

We reserve the right to implement and enforce usage limits on the Services, including but not limited to:

• Number of documents uploaded
• Storage capacity per account
• Number of Agent interactions or queries
• API call limits
• Number of users per organization

Current limits

Current usage limits (if any) are published on our Platform. We will provide reasonable notice before introducing new limits that materially affect your use.

Fair use

Even without specific limits, you agree to use the Services fairly and not in a way that degrades the experience for other users or strains our infrastructure.

7. AI Services and Agents

What our Agents do

Our Agents use artificial intelligence to analyze documents, extract information, generate timelines, create visualizations, and assist with other legal workflows. They are tools to support your work, not autonomous legal advisors.

What our Agents do NOT do

Our Agents:

• Do not provide legal advice
• Do not guarantee accuracy or completeness
• Do not replace professional legal judgment
• Do not create attorney-client relationships between Mino and your clients

Your responsibility

You are solely responsible for:

• Reviewing all Agent outputs before use
• Verifying accuracy of extracted information
• Making all legal judgments and decisions
• Ensuring outputs are appropriate for your specific situation
• Complying with your professional obligations

AI limitations

AI technology has inherent limitations. Our Agents may:

• Make errors in document analysis or extraction
• Misinterpret context or meaning
• Produce inconsistent results
• Fail to identify relevant information

We continuously work to improve our Agents, but we cannot guarantee error-free performance.

No training on your data

Your documents and data are never used to train AI models. See our Privacy Policy and Security page for details on how we protect your data.

8. Acceptable Use

Permitted use

You may use the Services for lawful purposes related to your legal practice or business operations.

Prohibited use

You may not:

• Use the Services for any unlawful purpose
• Upload documents you do not have the right to process
• Attempt to reverse-engineer, copy, or extract our AI models or algorithms
• Circumvent usage limits or security measures
• Resell, sublicense, or commercially redistribute the Services without authorization
• Use the Services in a way that could harm Mino, other users, or third parties
• Automate access to the Services in a way that exceeds reasonable use (e.g., scraping)
• Upload malicious content (viruses, malware, etc.)

Enforcement

We may investigate suspected violations and take action including warning, suspension, or termination of your account.

9. Intellectual Property

Our IP

The Platform, Agents, software, documentation, designs, and all related intellectual property belong to Mino (or our licensors). These Terms do not grant you any ownership rights.

Your content

You retain ownership of all documents you upload and outputs you generate using our Services. By uploading content, you grant us a limited license to process it as necessary to provide the Services.

Feedback

If you provide feedback, suggestions, or ideas about our Services, we may use them without obligation to you. We appreciate your input — it helps us build better tools.

10. Liability

Limitation of liability

To the maximum extent permitted by law:

• Mino's total liability for any claims arising from these Terms or the Services is limited to the amount you paid us in the 12 months preceding the claim, or €500, whichever is greater
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for loss of profits, revenue, data, or business opportunities
• We are not liable for decisions made based on Agent outputs or any consequences thereof

No warranty

The Services are provided "as is" and "as available". We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• Agent outputs will be accurate, complete, or suitable for your purposes
• Defects will be corrected

Professional responsibility

You acknowledge that you remain bound by your professional duties and obligations. Mino is not responsible for your compliance with professional rules, client confidentiality requirements, or malpractice standards.

Time limit on claims

Any claim related to these Terms or the Services must be brought within one year of discovering the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Mino, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Decisions you make based on Agent outputs
• Claims by your clients related to your use of our Services

This indemnification does not apply to the extent a claim results directly from Mino's gross negligence or willful misconduct.

12. Data and Privacy

Our Privacy Policy explains how we collect, use, and protect your data. By using the Services, you agree to the Privacy Policy.

Data security

We implement robust security measures as described on our Security page. However, no system is perfectly secure. You acknowledge this inherent risk.

Data export

You may export your data at any time using the export functions in the Platform or by contacting us.

Data deletion

Upon account termination, we delete your documents and generated outputs as described in our Privacy Policy. We retain only what is legally required.

13. Changes to These Terms

We may modify these Terms at any time. For material changes:

• We will notify you by email or through the Platform
• We will provide at least 30 days' notice before changes take effect
• Continued use after the effective date constitutes acceptance

If you do not agree to the modified Terms, you may cancel your subscription before they take effect.

14. General Provisions

Entire agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Mino regarding the Services.

Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.

No waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

Assignment

You may not assign or transfer your rights under these Terms without our consent. We may assign our rights to any successor or affiliate.

Governing law

These Terms are governed by Dutch law.

Jurisdiction

Any disputes arising from these Terms or the Services will be submitted to the exclusive jurisdiction of the courts in Amsterdam, The Netherlands.
